The conceptual frame of reference is based on the authors Silveira (2010), Silva (2010), Oliva and Albuquerque (2006) that deal with corporate governance, Board of Directors, and Committee were surveyed in national and international articles, proving to be a booming business in organizations and little explored in academia. As for the methodology, it is qualitative research, exploratory and descriptive character, according to Denzin and Lincoln (2006) and Vergara (2007). For the collection of data using the semi-structured interview technique with Independent advisers preferably belonging to the People Committee, in 4 brazilian companies internationalized that are listed on the Novo Mercado of BM & FBOVESPA. Data analysis was based on technical analysis of categories. The results show that all companies have as main factor in the creation of the people's Committee, the establishment of strategies for the implementation of actions directed to people, showing transparency generating credibility in the market, especially in the international arena. Demonstrating that the role of the People Committee is subsidizing the Board of Directors in making decisions regarding RH policies, to mediation and people management strategies. In your configuration are the main categories that contribute to the performance of the Committee. Among them include the composition, where the number of internal advisors, the predominance of male gender and absence of foreigners. The characteristics of the members whose dominant is the Administration's education, the average age of 54 years, the members are effective and participate in other committees of the CAD. As for the acting, the format of the meetings can be face-toface and virtual eventually, dealing with matters pertaining to the development of people, succession plans and compensation of executives and Board members. The People Committee of the surveyed companies has internal regulations.
